Terms of Service

By using the Show My Homework web site(s) ("Service"), all services of Teacher Centric Ltd ("Teacher Centric"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").

Teacher Centric reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at: http://www.showmyhomework.co.uk/terms_of_service

Violation of any of the terms below will result in the termination of your Account. While Teacher Centric prohibits such conduct and Content on the Service, you understand and agree that Teacher Centric cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

Account Terms

1. You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
2. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
3. Users have a period of five working days to attempt to make contact with Show My Homework account managers in order to verify their identity and the validity of their role in the school. Show My Homework will take the appropriate measures to make contact with users, via telephone with the school, email with the user, fax, or by any other means necessary to open dialogue. Any User who is not authorised by a school to be signed up to Show My Homework will therefore be removed immediately.
4. Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as you'd like.
5. You are responsible for maintaining the security of your account and password. Teacher Centric cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
6. You are responsible for all Content posted and activity that occurs under your account.
7. One person or legal entity may not maintain more than one free account.
8. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Cancellation and Termination

1. You are solely responsible for properly canceling your account. You can cancel your account at any time by sending an email to [email protected] or by phone request on 020 8133 4560 (9am to 6pm GMT).
2. Teacher Centric, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Teacher Centric service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Teacher Centric reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

1. Teacher Centric reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
2. Prices of all Services, including but not limited to annual subscription fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Show My Homework site (http://www.showmyhomework.co.uk) or the Service itself.
3. Teacher Centric shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

Copyright and Content Ownership

1. All content posted on the Service must comply with U.K. copyright law.
2. We claim intellectual property rights over the material you provide to the Service. By posting homework, your pages can be shared publicly. You agree to allow others to view and share your Content.
3. Teacher Centric does not pre-screen Content, but Teacher Centric and its administrators have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service. Teacher Centric, to the best of their ability, will undertake quality assurance to ensure that all Content is of an appropriate nature.
4. The look and feel of the Service is copyright © 2008-2011 Teacher Centric Ltd. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from Teacher Centric.

General Conditions

1. Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.
2. Technical support is only provided via email, but telephone support may be provided under exceptional circumstances.
3. You understand that Teacher Centric uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
4. You must not modify, adapt, or hack the Service or modify another website so as to falsely imply that it is associated with the Service, Teacher Centric, or any other Teacher Centric services.
5. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission from Teacher Centric.
6. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property, or these Terms of Service.
7. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of any Teacher Centric customer, employee, member, or officer will result in immediate account termination.
8. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
9. You must not upload, post, host, or transmit unsolicited emails, SMSs, or "spam" messages.
10. You must not transmit any worms or viruses or any code of a destructive nature.
11. If your bandwidth usage exceeds 300 MB/month, or significantly exceeds the average bandwidth usage (as determined solely by Teacher Centric) of other Show My Homework customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.
12. Teacher Centric does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased, or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
13. You expressly understand and agree that Teacher Centric shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Teacher Centric has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
14. The failure of Teacher Centric to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Teacher Centric and govern your use of the Service, superceding any prior agreements between you and Teacher Centric (including, but not limited to, any prior versions of the Terms of Service).

The service is provided on an "as is" and "as available" basis with no guarantees of reliability or accuracy. Pricing & Payment

1. An annual subscription to premium features may be incurred, with payment being made in advance.
2. The prices of annual Subscriptions to each of the Show My Homework premium features are the amount per teacher paid annually shown on the relevant feature activation pages of Show My Homework. Prices stated on the website are exclusive of U.K. Value Added Tax (VAT) which you shall be eligible to pay at the standard rate at the time of invoice.
3. All prices are subject to reduction at Teacher Centric's discretion by referral, bulk activation, or other discounts.
4. Teacher Centric reserves the right, acting reasonably at all times, to vary the Paid For Services ("Premium Services"), including the timing of payments by Subscribers for all forms of Subscription, and does not guarantee that Premium Services will remain paid for or that a free-of-charge service will remain free-of-charge. Should Teacher Centric improve the Premium Services, Teacher Centric also reserves the right to charge additionally for such improved services. Eligibility for any discounts is ascertained at the time you subscribe and cannot be changed during the term of your Subscription.
5. Teacher Centric will charge you in British Pounds Sterling, whatever your country of residence. All prices at the time of payment include U.K. VAT. No refund of U.K. VAT will be made in the event that such tax is not applicable for whatever reason. Teacher Centric reserves the right to change its prices in the event of changes in the rate of U.K. VAT.
6. You agree to pay any subscription fees at the rates in effect when the charges are incurred and payment is due. You must provide us with complete and accurate payment information. Payment will usually be by either cheque, bank transfer, or by credit/debit card payment through PayPal™. By submitting your credit card, debit card and/or bank sort code and account details to Teacher Centric or to a third party acting on behalf of Teacher Centric, you warrant that you are entitled to purchase the Premium Services using those payment details. In the case of unauthorised payments, Teacher Centric reserves the right to suspend or terminate your access to the Premium Services. If we do not receive any payment which is due, or a payment authorisation or any authorisation is subsequently cancelled, we may immediately terminate or suspend your access to any Premium Services.
7. Invoice terms are strictly 30 days from the date of the invoice. Non-receipt of payment within the term may result in the termination of access to the Premium Services for your account.

Renewals, Cancellation and Termination

Renewal of Annual Subscription: Our Customer Services team will endeavour to inform any Subscriber who has paid an annual Subscription of the subscription fee payable for subsequent years at least four weeks before the anniversary of the current Subscription. Access to Show My Homework Premium Services will only remain continuous if the renewal subscription fee is received prior to the anniversary date of the current Subscription.

Cancelling or Changing your Show My Homework Subscription: When you first upgrade and subscribe you are entitled to cancel your Subscription within the first seven working days of making your Subscription. You may cancel your Subscription during this period by calling our Customer Services on + 44 (0) 20 8133 4560 (9am to 6pm GMT). In the event that you do cancel your Subscription within the first seven working days, we will refund in full any payment we have received from you. Following the expiry of seven working days, you may cancel your future payment obligations for a Subscription at any time, but to do so, you must call our Customer services on + 44 (0) 20 8133 4560 (9am to 6pm GMT). In the event of such cancellation, Teacher Centric will not refund you or credit your account with any amounts you have paid us in advance that relate to any remaining period of the Subscription, including any amounts paid or due to be paid immediately prior to our receiving a request to cancel the Subscription. Lastly, you may upgrade your Subscription online by following the instructions on the website.

Subscription Payment Dispute: If you dispute with your bank or your credit card company a payment which you have already made and as a result of which we have in good faith provided Premium Services and access to our site beyond the initial seven working day cancellation period, you will remain liable to us for such payment and in addition a £10 charge per disputed payment. You will be billed for these amounts until payment is received by us in full, and interest may be applied. In the case of persistent non-payment, your debt may be passed on to a third-party debt collection agency. This may affect your credit rating and could result in legal action being taken against you.

Other Termination Circumstances: Teacher Centric also reserves the right to close any Account and/or to terminate any Subscription and/or to suspend the availability of Show My Homework Premium Services immediately and without notice if (i) bankruptcy or other insolvency proceedings are brought against the Subscriber, (ii) you are unable to pay your debts as they fall due, fail to make payments which become due, (iii) you are no longer able lawfully to access Show My Homework services, or (iv) Teacher Centric can no longer provide Show My Homework or provide the Premium Services in a manner which we deem appropriate. In the event that an Account is closed for whatever reason, any information which is stored about the Subscriber and /or any nominated Student(s) on our servers will be deleted.

Force majeure

Notwithstanding anything contained in these terms and conditions we shall not be liable for failure or delay in performing any of our obligations because of any cause beyond our reasonable control (including but not limited to (i) decision of any court or other judicial body of competent jurisdiction, (ii) unavailability of equipment, power, or other commodity, (iii) failure or non-availability of Internet or telecommunications facilities, computer hardware or software, (iv) act of God, war, riot, terrorist attack, civil commotion, malicious damage, fires, flood, or storm (v) strikes or other industrial disputes (whether involving our workforce or that of any other party) or (vi) acts of government or other prevailing authorities or default of suppliers, sub-contractors, or other third parties.
